Illegal Meeting!


The All Members Meeting held on November 9, 2010 had no quorum, so another AMM was held last night. A scattering of members showed up - no quorum again. Not to worry though, because the outside Board Member promptly declared a quorum. She emphatically stated that The Co-operative Corporations Act R.S.O. 1990 stated that a quorum of 10% of the members was all that was needed.

The Co-operative Corporations Act says NOTHING at all about this. The only thing that is mentioned under the heading 'Quorum' refers to Directors being present at their own Board meetings.

Where the 10% quorum is mentioned is in our By-laws:

3.9 ...If a quorum is not present at the adjourned meeting within one hour of the time for which the meeting was called, then the quorum for the adjourned meeting shall be reduced to ten percent of the members entitled to vote and the business and motions to be considered by the meeting shall be limited to those referred to in the notice given under 3.07.

The Board did not wait for one hour before reducing the quorum to 10%. They immediately called the meeting to order citing the 'non-existent clause' in The Co-operative Corporations Act. There is NOTHING in The Co-operative Corporations Act which gives a Director the explicit right to make things up. We have been lied to once again!
